Acquisition criteria
Buy the #1 or #2 brand in a cooking niche, then plug in shared technology.
From Alkar in 2005 to Viking in 2012, Middleby repeatedly targeted category leaders focused on cooking with patented technology, then integrated its own speed-cooking, induction and truvection know-how across brands. As CEO Selim Bassoul put it on the Viking deal, the goal was to 'integrate our own patented technologies that will have a huge appeal to consumers for their residential kitchens.'

Three-platform roll-up: Commercial Foodservice, Food Processing and Residential Kitchen. Most deals slot cleanly into one of three reported segments. The 2012 Viking acquisition ($380 million) opened the Residential Kitchen platform, which Middleby then scaled with AGA Rangemaster, U-Line, Lynx, Novy and Kamado Joe/Masterbuilt; Food Processing was built through Alkar, Scanico, CVP Systems, Armor Inox and Stewart Systems.

A high-cadence tuck-in machine punctuated by occasional platform bets.
Middleby closed dozens of mostly sub-$100 million deals (the 2017 to 2018 stretch alone added Sveba Dahlen, Globe, Firex, Josper, Crown and more), while making larger platform moves such as Follett ($207.7 million), Taylor ($1.0 billion) and Kamado Joe/Masterbuilt ($400.7 million). Its one attempt at a transformational public-company merger, the all-stock acquisition of Welbilt announced in April 2021, was terminated in July 2021 after a competing bid.
