Open Text Corporation Leadership

P. Thomas Jenkins is Chair of the Board of OpenText, a role he returned to on April 20, 2026 after serving as Executive Chair and Chief Strategy Officer during the leadership transition. He was President and then Chief Executive Officer of OpenText from 1994 to 2005 and Chief Strategy Officer from 2005 to 2013, and has served as a director since 1994 and Chairman since 1998. He has served on the boards of Manulife Financial, Thomson Reuters and TransAlta, was the tenth Chancellor of the University of Waterloo, and is an Officer of the Order of Canada.

Randy Fowlie has served as a director of OpenText since March 1998 and chairs the Audit Committee. From 2010 to 2017 he was President and CEO of RDM Corporation, a provider of electronic payment hardware and software, and earlier held COO and CFO roles at Inscriber Technology Corporation. He was a partner with KPMG LLP from 1984 to 1998 and is a Chartered Professional Accountant.

Major-General (Ret.) David Fraser has served as a director of OpenText since September 2018 and was appointed independent Lead Director in August 2025. He served in various command and staff positions over a 30-year career in the Princess Patricia's Canadian Light Infantry, most notably commanding the NATO coalition in southern Afghanistan in 2006. After the military he founded Aegis Six Corporation and is co-author of Operation Medusa.

John Hastings joined the OpenText Board of Directors in 2025 and was elected by shareholders at the December 2025 annual meeting. He was the Chief Executive Officer of Citibank Canada from 2010 to 2025, serving as Citigroup's representative in Canada with oversight of Banking, Markets, Services, Wealth and Personal Banking. Earlier at Citi he was Managing Director and Head of the Institutional Clients Group, and he has served on the Canadian Bankers Association Executive Council and as a member of the Business Council of Canada.

Robert Hau has served as a director of OpenText since September 2020 and serves on the Audit Committee. He is the Chief Financial Officer and Treasurer of Fiserv, Inc., and previously was Executive Vice President and Chief Financial Officer of TE Connectivity Ltd. from 2012 to 2016. Earlier he was Chief Financial Officer of Lennox International and spent 22 years at Honeywell International in progressive financial and operations leadership roles.

Goldy Hyder has served as a director of OpenText since December 2023. Since 2018 he has been President and Chief Executive Officer of the Business Council of Canada, a non-partisan organization of the chief executives of Canada's leading companies. He was previously President and CEO of Hill+Knowlton Strategies (Canada) and earlier served as Chief of Staff to former Canadian Prime Minister Joe Clark.

Kristen Ludgate was appointed a director of OpenText in June 2025. She most recently served as Chief People Officer at HP Inc., and previously spent more than 15 years at 3M Company, most recently as Executive Vice President and Chief Human Resources Officer. She holds a bachelor's degree from Bowdoin College and a J.D. from the University of Minnesota Law School.

Fletcher Previn was appointed a director of OpenText in November 2024. He is Senior Vice President and Chief Information Officer of Cisco Systems, Inc., and was recognized on the Forbes CIO Next List in 2024 for driving AI initiatives. Prior to Cisco he spent 15 years at IBM, most recently as Global Chief Information Officer leading a team of more than 12,000 IT professionals.

Annette Rippert was appointed a director of OpenText in July 2024. From 1994 until her retirement in 2022 she held numerous senior roles at Accenture plc, most recently as Group Chief Executive, Strategy and Consulting, and earlier led the North America Technology business. She holds bachelor's and master's degrees from Northwestern University, where she also serves on the Board of Trustees.

George Schindler was appointed to the OpenText Board of Directors in October 2025 and was elected by shareholders at the December 2025 annual meeting. He served as President and Chief Executive Officer of CGI Inc. from 2016 to 2024 and continues as a member of the CGI board of directors. Earlier he was President and Chief Operating Officer of CGI from 2015 to 2016 and President, United States and Canada Operations from 2011 to 2015; he holds a Bachelor of Science in Computer Science from Purdue University.

Margaret Stuart joined the OpenText Board of Directors in 2025 and was elected by shareholders at the December 2025 annual meeting. She is a seasoned executive with over 25 years of C-suite experience, most recently serving as Country Leader for Salesforce Canada, where she led sales and go-to-market for the AI CRM platform. She was previously Senior Vice President of Sales and Operations at BlackBerry and earlier led North American business development for big data and the Canadian analytics sales team at SAP.

Deborah Weinstein has served as a director of OpenText since December 2009 and serves on the Audit Committee. She is a co-founder and partner of LaBarge Weinstein LLP, an Ottawa-based business law firm, since 1997, specializing in corporate finance, securities law and mergers and acquisitions. Prior to founding the firm she was a partner at Blake, Cassels & Graydon LLP, and she holds an LL.B. from Osgoode Hall Law School of York University.

Ayman Antoun was appointed Chief Executive Officer of OpenText and a member of the Board of Directors effective April 20, 2026, succeeding interim CEO James McGourlay. He held numerous executive roles over 35 years at IBM, most recently serving as President of IBM Americas from 2020 to 2023, and before that as President of IBM Canada and General Manager, Global Technology Services. He also served as Senior Vice President of Business Market Sales at Bell Canada from 2013 to 2015, and he holds a Bachelor of Science in Electrical Engineering from the University of Waterloo and is a graduate of Harvard Business School's Executive program.

Steve Rai was appointed Executive Vice President, Chief Financial Officer of OpenText effective October 6, 2025, bringing over 30 years of global finance experience. He most recently served as Chief Financial Officer of BlackBerry Limited, where he played a pivotal role in transforming the company's financial strategy and operating structure. Before BlackBerry he held senior finance positions at PMC-Sierra and PricewaterhouseCoopers LLP, and he is a Certified Public Accountant and a member of the Chartered Professional Accountants in British Columbia.

James McGourlay transitioned from Interim Chief Executive Officer to President, Chief Client Officer effective April 20, 2026, having served as interim CEO since August 2025. He previously served as Executive Vice President, International Sales from July 2021, leading sales, pre-sales and partner teams across OpenText's Asia, Japan, Latin America and Advancing Market regions. McGourlay joined OpenText in 1997 and held progressive positions in information technology, technical support, product support and customer service before rising to senior leadership.

Todd Cione joined OpenText as President of Worldwide Sales in April 2024, responsible for global go-to-market strategy, sales and revenue growth. He is a veteran business executive with more than 30 years of global experience, and prior to OpenText he was Chief Revenue Officer for Teradata Corporation. Earlier he served as Head of U.S. Enterprise Accounts at Apple, SVP of Oracle Digital North America Applications, Chief Revenue Officer of Rackspace Technology, and spent 15 years at Microsoft in the U.S. and Asia.

Michael Acedo was appointed Chief Legal Officer and Corporate Secretary in January 2022 and became Executive Vice President, Chief Legal Officer and Corporate Secretary in August 2022. Since joining OpenText in 2014 he has held increasingly senior legal roles supporting corporate governance, external reporting, investor relations, capital markets and mergers and acquisitions. Prior to OpenText he practiced corporate and securities law at Skadden, Arps, Slate, Meagher & Flom LLP, and he holds a law degree from The University of Western Ontario.

Cosmin Balota has served as OpenText's Senior Vice President and Chief Accounting Officer since December 2022, and served as interim Chief Financial Officer from August to October 2025. He has over 30 years of experience in U.S., Canadian and international finance and accounting roles, and joined OpenText in 2019 as Vice President, Corporate Accounting. Prior to OpenText he was Vice President, Corporate Finance at Enercare Inc. and held positions at Expedia Group, The Globe and Mail and Deloitte; he is a Chartered Professional Accountant in Canada.

Shannon Bell joined OpenText as Executive Vice President and Chief Digital Officer in September 2023, responsible for IT and digital systems, data platforms, cloud operations, and security and compliance. She has over 25 years of experience driving technology transformations, and prior to OpenText she spent four years at Rogers Communications leading IT, digital, cloud and data. Earlier she spent eight years at Amdocs Limited leading product and strategy for Digital, Intelligence and BSS, and she holds an MBA from the University of Surrey in England.

Savinay Berry rejoined OpenText as Executive Vice President and Chief Product Officer in January 2025, leading the Product and Engineering organization across OpenText's portfolio. Immediately prior he was EVP, Product and Engineering at Vonage, part of Ericsson, and he had earlier served at OpenText as Senior Vice President, Cloud Services from 2019 to 2021. Before that he was Vice President, Product Management at Dell EMC, and he holds bachelor's and master's degrees in Electrical and Computer Engineering and an MBA from Northwestern University's Kellogg School of Management.

Muhi Majzoub has served as Executive Vice President, Security Products since January 2025, after serving as Executive Vice President, Chief Product Officer from 2019 to 2025 and in engineering leadership roles since joining OpenText in June 2012. He is a seasoned enterprise software executive who previously served as Head of Products for NorthgateArinso, Inc. Earlier he was Senior Vice President of Product Development at CA Technologies and spent several years as Vice President for Product Development at Oracle Corporation.

Sandy Ono joined OpenText as Executive Vice President and Chief Marketing Officer in January 2022, responsible for driving marketing and communications worldwide. Prior to OpenText she was Vice President, Growth Marketing at Hewlett Packard Enterprise from 2015 to 2022. Earlier she worked in the Strategy and Operations practice at Deloitte Consulting from 2003 to 2015, and she holds an MBA from the Wharton School.

Brian Sweeney joined OpenText as Chief Human Resources Officer in October 2018, bringing over 25 years of HR leadership in high-growth global technology businesses. Prior to OpenText he worked at Amgen Inc. from 2003 to 2018, serving in HR leadership roles including Global VP of HR and Head of HR for Global R&D. Earlier he was Director of Worldwide Compensation and Benefits and HR Director at Dell Technologies, and he holds an MBA from the University of Michigan.
