Fortive Corp Leadership

Dubey has served as Chair of the Board of Fortive since 2025 and is an independent director. She has been an operating partner of Advent International LP, a global private equity firm, since 2022, and previously served as Chief Executive Officer of Match Group, Inc. from March 2020 to May 2022, after holding senior roles there including President and Chief Product Officer following her 2016 arrival. She currently serves as a director of Naspers Limited and Prosus N.V. since 2022 and holds engineering degrees from the Indian Institute of Technology and Ohio State University.

Comas previously served as Executive Vice President of Danaher Corporation from April 2005 to December 2020, including as Chief Financial Officer through December 2018, after joining Danaher in 1991 and holding roles across corporate development, treasury, finance and risk management. He has served as an advisor to Danaher since 2021 and as an adjunct professor at Georgetown University since 2018. He currently serves as a director of Veralto Corporation since 2023 and holds an economics degree from Georgetown University and an MBA from Stanford University.

Hayes has served as Executive Vice President and Chief Financial Officer of CMS Energy Corporation since 2017, overseeing treasury, tax, investor relations, accounting, internal audit, supply chain and M&A functions, and also serves as Chairman of NorthStar Clean Energy. He previously was CFO of ITC Holdings Corp from 2014 to 2016 and held strategy and financial leadership roles at Exelon Corporation, Lazard Freres & Co., and Bank of America Securities. He holds a bachelor's degree from Amherst College and an MBA from Harvard Business School.

Lassiter has served as CEO of CommonSpirit Health, an integrated health system spanning more than 2,200 care sites across 24 states, since 2022, and chairs the American Hospital Association Board of Trustees. He previously served as President and CEO of Henry Ford Health System from 2014 to 2022. He has been a director of Quest Diagnostics since 2020, previously served as lead independent director of DT Midstream from 2021 to 2023, and was a director of the Federal Reserve Bank of Chicago from 2018 to 2021.

Mitchell has been a founding partner of Scale Venture Partners, a Silicon Valley firm investing in early-stage technology companies, since 1997, with over 40 years of experience in the technology industry. She previously worked at Bank of America from 1988 to 1996, most recently as Senior Vice President for Bank of America Online Banking. She has served as a director of Ralliant Corporation since 2025, was a director of SVB Financial Group from 2010 to 2024, and is Chairman and Founder of Venture Forward, a non-profit affiliate of the National Venture Capital Association.

Moore, M.D., Ph.D., is board certified in Diagnostic Radiology, Neuroradiology and Clinical Informatics, and serves as a senior advisor to Gates Ventures. He previously was Corporate Vice President of Microsoft Health & Life Sciences from 2019 to 2023, Vice President and Founder of Google Cloud Healthcare & Life Sciences from 2016 to 2019, and Chief Emerging Technology and Informatics Officer at Geisinger Health System. He has served as a director of DaVita, Inc. since 2021 and previously served on the boards of Olink Holding AB and Hill-Rom Holdings, Inc.

Sargent has over 30 years of experience in leadership, operations, marketing and engineering roles across technology hardware and software companies. She previously served as president of Energy and president of Innovation and New Ventures at Flex from 2012 to 2017, and as CEO of Oerlikon Solar and Voyan Technology. She is an Operating Partner at G2 Venture Partners since 2024, a director of Synopsys, Inc. since 2020, and previously served on the boards of Cypress Semiconductor Corp., Proterra, Inc. and Queens' Gambit Growth Capital.

Soroye has served as President and Chief Executive Officer of Fortive since June 2025, having previously led Fortive's IOS segment from January 2021 to June 2025 and its AHS segment from January 2025 to June 2025. Before joining Fortive he was Managing Director of the PIRM segment of CoreLogic, Inc. from 2013 to 2021, and earlier worked at McKinsey & Company. He has served as a director of Verisk Analytics since 2022 and holds an MBA from Harvard Business School and a JD from Loyola Law School.

Branderiz is a current independent director of Fortive who will not stand for re-election and will retire from the Board as of the 2026 Annual Meeting. He has been a member of the Audit and Compensation Committees and contributed to board oversight of artificial intelligence governance and sustainability reporting and climate-related risk.

Okerstrom was appointed Senior Vice President, Chief Financial Officer of Fortive effective March 24, 2025, succeeding Charles McLaughlin. In connection with his appointment, Fortive and Okerstrom entered into an offer letter providing for his compensation, including one-time sign-on awards intended in part as a make-whole payment.

Underwood serves as Senior Vice President, Chief Legal Officer of Fortive and reports directly to the CEO, with responsibilities including management of Compliance, Enterprise Risk Management, EHS, and Sustainability. He provides regular updates to the Nominating and Governance Committee and the full Board on Fortive's Sustainability strategy and performance.

Amee Desjourdy has served as Senior Vice President – Chief People Officer of Fortive since January 2026. Prior to joining Fortive she held Chief Human Resource Officer roles at Hitachi Ltd from July 2022 to January 2026, and was previously Chief People Officer of Brightcove, Chief People and Culture Officer of Quanterix, and Chief Human Resources Officer of Global Partners LP.
