Rohan S. Weerasinghe is PHINIA's independent, Non-Executive Chair of the Board, a role he has held since the company's spin-off from BorgWarner in July 2023. He chairs the Corporate Governance Committee. He holds a J.D. from Harvard Law School, an M.B.A. from Harvard Business School, and a B.A. from Harvard College.

His career was built over four decades in law and financial services. He served as Of Counsel at Allen Overy Shearman Sterling LLP (A&O Shearman) from 2023 to 2025, as General Counsel of Citigroup, Inc. for over nine years from 2012 to 2021, and as Senior Partner and earlier Partner at Shearman & Sterling LLP, joining the firm in 1977. At Citigroup, one of the world's largest financial institutions, and in his roles at A&O Shearman, which previously included managing and overseeing the firm's chief financial officer, he gained extensive finance, capital markets, internal controls, and risk management experience. He brings senior leadership, a global perspective, and extensive public-company board and legal experience to the Board.
