Rohan S. Weerasinghe has served as PHINIA's independent, Non-Executive Chair since the completion of the spin-off from the Company's former parent in July 2023. He previously served as Of Counsel at Allen Overy Shearman Sterling LLP (2023-2025) and as General Counsel of Citigroup, Inc. for over nine years (2012-2021), and before that as Senior Partner and Partner at Shearman & Sterling LLP. He brings valuable senior leadership experience, a global perspective, and extensive public-company board and legal experience to the Board.

Brady D. Ericson has served as President and CEO of PHINIA since 2023. He previously held a series of leadership roles at BorgWarner Inc., including President and General Manager of Fuel Systems and Aftermarket (2022-2023), President and General Manager of Morse Systems (2019-2022), Chief Strategy Officer (2017-2019), and President of Emissions Systems and BERU Systems (2011-2016), as well as earlier executive positions at Honeywell, Remy International, and Ford Motor Company. His conviction that internal combustion engine technologies will be key to lower carbon mobility was a driving force behind the establishment of PHINIA.

Samuel R. Chapin has served as a Senior Advisor at Rockefeller Capital Management since 2019 and previously served as Executive Vice Chairman of Global Corporate and Investment Banking at Bank of America Merrill Lynch (2010-2016) and as Vice Chairman of Merrill Lynch (2003-2009). Through more than three decades of investment banking, he has gained significant investment banking and financial expertise, and he has extensive public-company board experience having served on the boards of O-I Glass, Revvity, and CIRCOR International.

Robin Kendrick served as President and CEO of Accuride Corporation from 2019 to 2025 and previously held leadership roles at BorgWarner, including President and General Manager of Turbo Systems (2018-2019) and Transmission Systems (2011-2018), as well as executive positions at RGF AG, Acument Global Technologies, and American Axle & Manufacturing. He brings significant insight into managing a global Tier-1 automotive and mobility supplier, along with robust engineering, operations, and manufacturing experience.

Latondra Newton served as Senior Vice President and Chief Diversity Officer of The Walt Disney Company (2017-2023) and previously held roles at Toyota, including Group Vice President of Social Innovation and Chief Diversity Officer of Toyota Motor North America (2014-2017) and Vice President of Strategic Planning (2009-2013). She brings valuable global and regional senior leadership experience and human capital expertise, along with extensive transportation-industry, manufacturing, and operations experience from more than 25 years with Toyota.

D'aun Norman served as an Audit Partner at Ernst & Young LLP from 1988 to 2019, specializing in advising publicly traded, global transportation suppliers and other industrials companies for over 16 years. She brings significant financial reporting, accounting and controls, business analysis, risk management, and regulatory expertise to the Board, and she currently serves as a director of Garrett Motion, Inc.

Meggan M. Walsh served as Senior Portfolio Manager and Head of Dividend Value at Invesco Ltd. (2000-2021) and previously held portfolio management roles at Invesco beginning in 1991, as well as a financial analyst role at Nationale Nederlanden, N.A. She brings 35 years of investor leadership experience in both fixed income and equity portfolio management, including mergers and acquisitions analysis and assessment of corporate actions such as restructurings, recapitalizations, and spin-offs.

Roger J. Wood served as Co-CEO of Tenneco Inc. (2018-2020), Chairman and CEO of Fallbrook Technologies Inc. (2018), and President and CEO of Dana Incorporated (2011-2015), and previously held senior executive roles at BorgWarner including Executive Vice President and Group President of the Engine Group (2009-2011). He brings significant leadership experience and knowledge of global manufacturing, operations, and strategic planning, along with current and prior board service at Goodyear Tire, Brunswick, Tenneco, and Dana Holding.

Chris P. Gropp has served as PHINIA's Chief Financial Officer since the July 2023 spin-off, becoming Senior Vice President and Chief Financial Officer in January 2026 (previously Vice President and Chief Financial Officer, July 2023-January 2026). Prior to the spin-off, she served as Vice President of Finance for Fuel Systems and Aftermarket at BorgWarner (2020-July 2023).

Robert Boyle has served as PHINIA's General Counsel and Secretary since the July 2023 spin-off, becoming Senior Vice President, General Counsel and Secretary in January 2026 (previously Vice President, General Counsel and Secretary, July 2023-January 2026). Prior to the spin-off, he served as Vice President and General Counsel for Europe at BorgWarner (2020-July 2023).

Alisa Di Beasi has served as PHINIA's Chief Human Resource Officer since the July 2023 spin-off, becoming Senior Vice President and Chief Human Resource Officer in January 2026 (previously Vice President and Chief Human Resource Officer, July 2023-January 2026). Prior to the spin-off, she served as Vice President of Global Human Resources for Morse Systems at BorgWarner (2020-July 2023).

Pedro Abreu has served as PHINIA's Vice President and Chief Strategy Officer since July 2024. He previously served as Vice President and General Manager of Fuel Systems Asia Pacific (July 2023-July 2024), and prior to the spin-off as Vice President and General Manager of Asia, Fuel Systems at BorgWarner (2021-July 2023) and as Plant Manager in Tulle, France (2019-2021).

Todd L. Anderson has served as Vice President and Chief Technology Officer of PHINIA since the July 2023 spin-off from BorgWarner. Before the spin-off he served at BorgWarner as Vice President and General Manager of Fuel Systems for Europe, Middle East, and Africa and as Vice President and Managing Director of Diesel Fuel Injection Systems.

Michael Coetzee has served as Vice President and General Manager, Fuel Systems Americas of PHINIA since the July 2023 spin-off from BorgWarner, where he previously served as Vice President and General Manager of Morse Systems, Americas and of Transmission Systems, Americas.

Sebastian Dori has served as Vice President and Chief Purchasing Officer of PHINIA since the July 2023 spin-off from BorgWarner, where he previously served as Vice President of Global Supply Management for Fuel Systems and as Director of Global Supply Chain Management for Morse Systems.

Christopher Gustanski has served as Vice President, Operational Excellence of PHINIA since the July 2023 spin-off from BorgWarner, where he previously served as Vice President of Manufacturing Strategy and Quality. Earlier he held a manufacturing engineering leadership role at Delphi Technologies.

Neil Fryer has served as Vice President and General Manager, Global Aftermarket of PHINIA since the July 2023 spin-off from BorgWarner, where he previously served as Vice President and General Manager of Global Aftermarket and as Vice President of Global Marketing, Product and Strategic Planning for the Aftermarket.

John Lipinski has served as Vice President and General Manager, Fuel Systems Europe of PHINIA since the July 2023 spin-off from BorgWarner, where he previously led global manufacturing engineering for PowerDrive Systems. Earlier he served as Global Operations Senior Director at Delphi Technologies.

Samantha M. Pombier has served as Vice President and Controller of PHINIA since the July 2023 spin-off from BorgWarner, where she previously served as Assistant Controller and as Director of External Reporting.

Hongyong (Hank) Yang has served as Vice President and General Manager, Fuel Systems Asia Pacific of PHINIA since July 2024, having previously served as Country Director (China) and General Manager of Fuel Systems (China) and, before the spin-off, as General Manager of Fuel Systems (China) at BorgWarner.
